Manner of representation

1. The company is represented by the general partner acting through its relevant bodies authorised to represent it and other persons duly authorised to represent it, in accordance with the rules provided for by law and by the partnership agreement of the company being the general partner. 2. The authority to represent encompasses all judicial and extrajudicial acts, subject to paragraphs 3 and 4 below. 3. The consent of the partners expressed in a resolution adopted unanimously is required to perform acts exceeding the scope of ordinary management. 4. The following shall be considered acts exceeding the scope of ordinary management: a) incurring an obligation exceeding the value of PLN 100,000.00 (one hundred thousand zloty), b) making another disposition of the company’s assets with a value exceeding the amount specified in point a) above, c) concluding a credit, loan or leasing agreement, d) adopting a resolution concerning remuneration of a partner for conducting the affairs of the company, or concluding a civil-law or employment contract with a partner; 5. A limited partner may represent the company only as an attorney-in-fact.
