Manner of representation

1. Each member of the management board has the right and duty to conduct the affairs of the foundation. Each member of the management board may, without a prior resolution of the management board, conduct matters not exceeding the scope of the foundation's ordinary activities. 2. However, if, before a matter not exceeding the scope of the foundation's ordinary activities is dealt with, even one of the other members of the management board objects to its conduct, or if the matter exceeds the scope of the foundation's ordinary activities, a prior resolution of the management board is required. The responsibilities of the management board include in particular: a. pursuing the statutory objectives of the foundation, b. preparing multi-year action plans of the foundation specifying the long-term directions of its activities, c. preparing annual work plans, the budget and reports anticipating and taking into account the investment policy of the foundation and revenues obtained as a result of conducting it, d. managing the current activities of the foundation, e. exercising management over the foundation's assets, f. employing employees and determining the amount of their remuneration, g. accepting donations, inheritances, bequests, subsidies and grants, h. making decisions concerning amendments to the statutes, merger with another foundation and liquidation of the foundation, i. preparing and adopting regulations and internal acts of the foundation, j. preparing, approving and ensuring the required publication and filing of the foundation's reports.
