Manner of representation

In the case of a one-person management board, the company is represented by the sole member of the management board. In the case of a multi-member management board, the company is represented: 1) with respect to actions undertaken in property matters with a value of up to PLN 500,000, by each member of the management board acting independently; 2) with respect to actions undertaken in property matters with a value exceeding PLN 500,000 or in non-property matters, by two members of the management board acting jointly, or by one member of the management board acting with a commercial proxy. In the case of actions whose value is expressed in foreign currencies, the value of the actions is determined using the average exchange rate of the relevant foreign currency against the Polish zloty, announced by the National Bank of Poland on the last day on which such rate was published before the action was performed.
