Manner of representation

The right to represent the company independently in all matters not exceeding the scope of ordinary management is vested in each partner. However, if the making of declarations concerning the company's proprietary and non-proprietary rights and obligations, representing it and signing on behalf of the company, as well as entering into any agreements, requires the action of more than one partner, two partners shall be authorised to perform these acts jointly. In matters exceeding the scope of ordinary management specified in § 7 point 6 of the company agreement, the company shall be represented by two partners acting jointly. Matters exceeding the scope of the company's ordinary management are: 1. incurring obligations or disposing of a right with a value exceeding PLN 50,000.00 (fifty thousand złoty); 2. granting or taking out a loan, credit, financial guarantee, lease agreement or tenancy agreement.
