Manner of representation

Representation of the company before third parties belongs to the management board. All documents submitted by the company and all agreements entered into by the company must, in order to be valid, bear the signatures of two authorised signatories on behalf of the company. The management board may delegate its powers of representation to one or more executive directors or third parties. The authorised signatories of the company and the procedures according to which such signatories may represent and bind the company are determined by the management board, registered in the commercial register and published in the Turkish Trade Registry Gazette. The management board may appoint other committees and commissions consisting of members of the management board or persons who are not members of the management board for various matters, such as supervising operations, preparing items for discussion and preparing a balance sheet in relation to significant events.
