Manner of representation

1. For submitting declarations of will in all property and non-property matters of the association, including incurring liabilities and concluding agreements on behalf of the association, the President independently, or the Vice-President together with the Secretary acting jointly, is authorised. 2. In agreements between the association and a member of the management board, and in disputes with such member, the association is represented by a member of the Audit Committee indicated in a resolution of that body, or by an attorney-in-fact appointed by a resolution of the General Meeting. 3. The General Meeting is the body authorised to appoint an attorney-in-fact or attorneys-in-fact to represent the association in agreements between the association and a member of the management board and in disputes between the association and a member of the management board. 4. The Audit Committee is the body authorised to designate its representative to represent the association in agreements between the association and a member of the management board and in disputes between the association and a member of the management board. 5. The management board of the association is authorised to appoint an attorney-in-fact or attorneys-in-fact of the management board, subject to paragraphs 3 and 4. The resolution on appointing an attorney-in-fact specifies the scope of the authorisation.
