Manner of representation

If the management board consists of more than one person, each member of the management board is entitled to make declarations and incur liabilities on behalf of the company independently in matters not exceeding the scope of ordinary management, whereas in matters exceeding the scope of ordinary management, two members of the management board acting jointly are entitled to do so. Matters exceeding the scope of ordinary activities of the company include in particular: a) acquiring or disposing of real estate belonging to the company or encumbering it with limited rights in rem, b) incurring or extinguishing a liability with a value exceeding PLN 50,000 or disposing of assets of such value, c) admitting a new partner.
