Manner of representation
In the case of a one-person management board, the company is represented by the President of the Management Board. In the case of a multi-member management board, for disposing of a right or incurring obligations up to and including 20,000.00, each member of the management board is authorised to act independently, whereas above this amount joint action by two members of the management board or by a member of the management board together with a commercial proxy is required. The articles of association do not regulate the manner of representing the company in non-property transactions. The entity is represented in non-property transactions pursuant to Article 205 § 1 of the Commercial Companies Code, i.e. if the management board is a multi-member management board, joint action by two members of the management board or by one member of the management board jointly with a commercial proxy is required for making declarations of will on behalf of the company.
