Manner of representation

The following are authorised to make declarations of will concerning the company's property and non-property rights and obligations: 1) in the case of a one-person management board, a member of the management board acting independently; 2) in the case of a multi-member management board, each member of the management board independently; however, if the amount of the obligation or disposition exceeds PLN 100,000.00 under one or several related agreements, the joint action of two members of the management board is required when making declarations on behalf of the company. In the case of periodic agreements, e.g. lease or tenancy agreements, the amount of the obligation or disposition is deemed to be the amount of that obligation or disposition for the entire term of the agreement, and where the agreement is concluded for an indefinite period, the amount of the obligation or disposition for 36 months.
