Manner of representation

In the case of a one-person management board of the foundation, only a President of the Management Board of the foundation is appointed, who independently represents the foundation externally. In the case of a multi-member management board of the foundation, a President, one Vice-President and a member of the management board are appointed. In such a case: A) declarations of will on behalf of the foundation in matters concerning the disposal of or undertaking obligations with respect to rights up to the amount of PLN 50,000.00 may be made by each member of the foundation’s management board independently, whereas in matters exceeding this amount, declarations of will on behalf of the foundation are made by two members of the foundation’s management board acting jointly (the President’s declaration must be among them); B) for making declarations of will in individual matters concerning the foundation’s activities, including conducting matters before courts and other authorities, the management board may appoint attorneys-in-fact.
