Manner of representation

1. Declarations of will on behalf of the foundation may be made independently by each member of the management board (the President of the Management Board, the Vice-President of the Management Board, or a member of the management board). The incurring of property liabilities and legal acts of the foundation of a dispositive nature, where the management board is a multi-member management board, require the joint action of two members of the management board, namely the President of the Management Board together with the Vice-President of the Management Board, or the President of the Management Board together with a member of the management board, or the Vice-President of the Management Board together with a member of the management board; in the case of a one-person management board, the President of the Management Board acts independently. 2. By way of a resolution, the management board may appoint attorneys-in-fact acting on behalf of the foundation, specifying their authorisation, in particular by specifying the duration and scope of the power of attorney. 3. The power of attorney may not concern matters related to employing persons, irrespective of the legal basis of their employment.
