Manner of representation

In the case of a one-person management board, the foundation’s representation is by one person. If the management board is not one-person, declarations of will on behalf of the foundation, subject to section 2, are made by two members of the management board acting jointly. If the management board is multi-member, in matters concerning the employment of employees and in matters not involving the incurring of property obligations exceeding PLN 5,000 (five thousand zlotys), declarations of will on behalf of the foundation may be made independently by each member of the foundation’s management board.
