Manner of representation

In the case of a one-person management board, the President of the Management Board is authorized to make declarations of will and sign on behalf of the company in matters concerning proprietary and non-proprietary rights. In the case of a multi-member management board: 1. in matters concerning non-proprietary rights, joint action by two members of the management board or by one member of the management board jointly with a commercial proxy is required; 2. in matters concerning proprietary rights: a) for legal acts resulting in the disposal of a right or the assumption of obligations to render a performance with a value not exceeding PLN 200,000 (two hundred thousand zlotys), each member of the management board represents the company independently; b) for legal acts resulting in the disposal of a right or the assumption of obligations to render a performance with a value exceeding PLN 200,000 (two hundred thousand zlotys), joint action by two members of the management board or by one member of the management board jointly with a commercial proxy is required.
