Manner of representation

1. The President of the foundation (Director of the foundation) jointly with a commercial proxy (joint commercial proxy), or a commercial proxy independently in the case of the appointment of an independent commercial proxy, is authorised to make declarations of will and sign on behalf of the foundation. 2. In the case of a multi-member management board, two members of the management board acting jointly are authorised to represent the foundation. 3. The management board of the foundation acting jointly with a commercial proxy, or an independent commercial proxy, is not unrestricted in disposing of rights or incurring an obligation to provide a performance of any value, which in particular concerns the possibility for the management board to freely perform actions exceeding the scope of ordinary management, none of which requires a resolution of the founders' council. 4. Post factum approval by the founders' council of actions exceeding the scope of ordinary management is permitted. However, if the council fails to react in any way during a period of one month from the date on which documents confirming the performance of an action requiring the council's approval were properly delivered to the founders' council, it is assumed that consent was granted tacitly (implied consent). 5. Disposing of a right or incurring an obligation to provide a performance in a manner other than that described in sections 1 to 3 above is ineffective vis-à-vis the foundation.
