Manner of representation

The foundation is represented by the management board. 1. In the case of a one-person management board, the President submits declarations of will in every matter. 2. In the case of a multi-member management board, each member of the management board is authorised to represent the foundation, subject to point 3. 3. In the case of incurring financial liabilities exceeding PLN 25,000.00, the signature of the President or of all the remaining members of the management board is required. 4. The President may authorise a member of the management board in writing, subject to nullity, to represent the foundation independently, irrespective of the amount of the liability. This authorisation may be granted for the performance of one act or under a general authorisation. 5. The authorisation expires upon revocation of the authorisation in writing, subject to nullity, or upon the authorised person's membership of the management board ceasing.
