Manner of representation

If a one-person management board is appointed, the member of the management board is authorized to submit declarations of will concerning the company’s proprietary and non-proprietary rights and obligations and to perform legal acts on behalf of the company; if a multi-member management board is appointed, the following persons are authorized to submit declarations of will concerning the company’s proprietary and non-proprietary rights and obligations and to perform legal acts on behalf of the company: – in the case of incurring a liability or disposing of a right with a value not exceeding PLN 500,000.00 (five hundred thousand zlotys), each member of the management board independently; – in the case of incurring a liability or disposing of a right with a value exceeding PLN 500,000.00 (five hundred thousand zlotys), two members of the management board acting jointly, or one member of the management board acting jointly with a commercial proxy.
