Manner of representation

Two members of the management board acting jointly, including the President or Vice-President, are authorized to submit declarations of will on behalf of the association in all matters, including representation, incurring financial liabilities, concluding agreements and granting powers of attorney. The conclusion of a civil-law agreement with a subject-matter value exceeding PLN 10,000 requires, for its validity, the consent of the chairperson of the audit committee. If, in a given calendar year, another civil-law agreement is concluded with the same entity, the consent of the chairperson of the audit committee is required irrespective of the value of the subject matter of that agreement.
