Manner of representation

1. If the management board is a one-person management board, one member of the management board is authorised to represent the company in property and non-property matters (independent representation). 2. In the case of a multi-member management board, in property matters, the members of the management board are authorised to represent the company according to the following rules: a) each member of the management board independently is authorised to submit declarations on behalf of the company and to perform by the company an act consisting in disposing of a right or incurring an obligation to provide a performance with a value not exceeding, whether in a single transaction or, in the case of continuous transactions, during one calendar year, PLN 20,000.00 (twenty thousand zloty); b) with respect to submitting declarations on behalf of the company and performing by the company acts of the nature specified above resulting in the disposal of a right or the incurring of an obligation to provide a performance with a value exceeding, whether in a single transaction or, in the case of continuous transactions, during one calendar year, PLN 20,000.00 (twenty thousand zloty), joint action by two members of the management board or by a member of the management board with the commercial proxy is required. 3. In the case of a multi-member management board, in non-property matters, each member of the management board is authorised to represent the company independently (independent representation).
