Manner of representation

1. Each member of the management board is authorised to submit declarations of will independently in matters not exceeding the ordinary activities of the company, whereby a matter not exceeding the scope of the ordinary activities of the company means consenting to a legal act causing the incurrence of an obligation or disposal of a right with a value not exceeding PLN 100,000.00 (in words: one hundred thousand zlotys). Each member of the management board is authorised independently to submit declarations of will concerning property and non-property rights and obligations and to sign documents on behalf of the company causing disposal of a right whose value does not exceed PLN 100,000.00 (in words: one hundred thousand zlotys), inclusive, or the creation of an obligation to render a performance with a value up to PLN 100,000.00 (in words: one hundred thousand zlotys), inclusive. 2. To submit declarations of will concerning property and non-property rights and obligations and to sign documents on behalf of the company causing disposal of a right or the creation of an obligation to render a performance whose value exceeds PLN 100,000.00 (in words: one hundred thousand zlotys), joint action by a member of the management board together with a commercial proxy is required.
