Manner of representation

The following persons are entitled to conduct the affairs of the company and represent it: a) independently: the President of the Management Board or a member of the management board–for incurring liabilities and disposing of a right with a value not exceeding PLN 100,000.00 (in words: one hundred thousand złoty), calculated as a one-time performance, and, in the case of recurring performances, calculated as the sum of those recurring performances due under the incurring of the liability and disposal of the right for the period of the next 12 (in words: twelve) months from the date of incurring the liability and disposing of the right, and if the recurring performances continue for less than the indicated subsequent period of 12 (twelve) months, for the entire duration thereof. b) jointly: the President of the Management Board together with a member of the management board or, respectively, one of them together with a commercial proxy–for incurring liabilities and disposing of a right with a value exceeding PLN 100,000.00 (in words: one hundred thousand złoty), calculated as a one-time performance, and, in the case of recurring performances, calculated as the sum of those performances due under the incurring of the liability and disposal of the right for the period of the next 12 (in words: twelve) months from the date of incurring the liability and disposing of the right, and if the recurring performances continue for less than the indicated subsequent period of 12 (twelve) months, for the entire duration thereof.
