Manner of representation

In the case of a one-person management board, the member of the management board has the right to represent the company individually. In the case of a multi-member management board, for making declarations and incurring obligations on behalf of the company or disposing of a right: a) with a value not exceeding or equal to PLN 100,000.00 gross (or its equivalent in another currency) – one member of the management board acting independently or two commercial proxies acting jointly are authorised; b) with a value exceeding PLN 100,000.00 gross (or its equivalent in another currency) but not exceeding or equal to PLN 500,000.00 gross (or its equivalent in another currency) – two members of the management board acting jointly, a member of the management board acting jointly with a commercial proxy, or two commercial proxies acting jointly; c) with a value exceeding PLN 500,000.00 gross (or its equivalent in another currency) – exclusively two members of the management board acting jointly; whereby, in the case of obligations incurred for a definite period, this value is determined for the entire period of their validity, whereas in the case of periodic or recurring obligations, for the purpose of determining the value of the obligation, the value of the performances for a period of 12 months shall be taken into account.
