Manner of representation

1. The President of the Management Board or each member of the management board independently is authorised to: 1) make declarations on behalf of the association resulting in the association incurring an obligation or performing another act with a unit value equal to or not exceeding PLN 10,000.00 (ten thousand zlotys 00/100); 2) accept a donation with a unit value equal to or not exceeding PLN 20,000.00 (twenty thousand zlotys 00/100) for the association; 3) represent the association before offices, state and local-government authorities, etc. 2. Joint action by the President of the Management Board with another member of the management board, or by two members of the management board of the association acting jointly, is required for: 1) making declarations on behalf of the association resulting in the association incurring an obligation or performing another act with a unit value exceeding PLN 10,000.00 (ten thousand zlotys 00/100); 2) making declarations on behalf of the association resulting in the association incurring an obligation or performing any acts, regardless of their value, to which a financial institution is a party; 3) accepting a donation with a value exceeding PLN 20,000.00 (twenty thousand zlotys 00/100) for the association; 4) undertaking particular acts for which the articles of association require joint representation. 3. In matters and acts not regulated in the sections above, the management board collegially decides on their allocation among its members.
