Manner of representation

At least two members of the management board jointly are authorized to make declarations of will on behalf of the company. At least two members of the management board jointly, one of whom is the President of the Management Board, are authorized to make declarations of will on behalf of the company in the case of: (a) entering into agreements, transactions and other legal acts, in the name and for the benefit of the company, with a value not exceeding USD 1,000,000.00 or the equivalent of that amount in any currency, as well as amending or terminating them; (b) entering into agreements, transactions and other legal acts, in the name and for the benefit of the company, with a value exceeding USD 1,000,000.00 and not exceeding USD 5,000,000 or the equivalent of that amount in any currency, as well as amending or terminating them, subject to obtaining the prior consent of the partners' meeting. Three members of the management board jointly are authorized to make declarations of will on behalf of the company in the case of entering into agreements, transactions and other legal acts, in the name and for the benefit of the company, with a value exceeding USD 5,000,000 or the equivalent of that amount in any currency, as well as amending or terminating them, subject to obtaining the prior consent of the partners' meeting.
