§ 12 point 5: In the case of a management board consisting of two or more persons, making declarations on behalf of the company requires the joint action of two members of the management board, or of one member of the management board jointly with a commercial proxy. § 12 point 6: In matters not exceeding the scope of ordinary activities, each member of the multi-member management board is entitled to represent the company independently. For the purposes of this point, matters not exceeding the scope of ordinary activities are understood in particular as matters concerning the employment relationship and matters whose value on the date of making the decision does not exceed PLN 5,000.
