Manner of representation

Each member of the management board is authorised independently to submit declarations of will on behalf of the foundation and represent it externally, provided that, in the event of the appointment of a President of the Management Board, the exclusive competence of the President of the Management Board includes: establishing and abolishing establishments and other organisational units of the foundation; initiating amendments to the statutes, a merger with another foundation and the liquidation of the foundation; preparing reports on the foundation's activities for the reporting period; incurring financial liabilities exceeding PLN 1,000,000 on a one-off basis or, in the case of legal relationships concluded for a definite or indefinite period, during the calendar year exceeding PLN 1,000,000.
