Manner of representation

In the case of a multi-member management board, with regard to obligations up to the amount of PLN 20,000 (twenty thousand), each member of the management board independently is authorized to submit declarations and to sign documents on behalf of the company. With regard to obligations exceeding the amount of PLN 20,000 (twenty thousand), the President of the Management Board is authorized independently, whereas with regard to members of the management board, the joint action of two members of the management board is required. With regard to obligations exceeding PLN 200,000 (two hundred thousand) in a single transaction, the consent of the partners' meeting is required.
