Manner of representation

1. Each partner is entitled to represent the company independently in matters not exceeding the scope of the ordinary activities of the company. 2. A commercial proxy is entitled to represent the company independently in matters not exceeding the scope of the ordinary activities of the company, within the limits of the commercial proxy granted. 3. In matters exceeding the scope of the ordinary activities of the company, specified in § 8 of the agreement, the joint action of all three partners is required to make declarations of will on behalf of the company. Pursuant to § 8 of the agreement, activities exceeding ordinary management include in particular: a) incurring obligations exceeding PLN 200,000, b) entering into long-term agreements (binding the company for a period exceeding 24 months), c) taking out loans and credits and entering into leasing agreements, d) granting sureties and guarantees, e) disposal of or encumbrance of the company’s fixed assets (e.g. real estate, vehicles, machinery).
