Manner of representation

In the case of a one-person management board, the company is represented by the sole member of the management board. In the case of a multi-member management board, the company is represented: 1. in matters concerning transactions of a property nature with a value up to PLN 500,000 (five hundred thousand złoty), by each member of the management board acting independently; 2. in matters concerning transactions of a property nature with a value exceeding PLN 500,000 (five hundred thousand złoty) or in non-property matters, by two members of the management board acting jointly or by one member of the management board acting jointly with a commercial proxy. In the case of transactions whose value is expressed in foreign currencies, the value of the transaction is determined using the average exchange rate of the relevant foreign currency against the Polish złoty announced by the National Bank of Poland on the last day on which such exchange rate was published before the transaction was carried out.
