Manner of representation

If the company has a one-person management board, the President of the Management Board is authorized to make declarations of will on behalf of the company. If the company has a multi-member management board: a) the President of the Management Board or a member of the management board is authorized to make declarations of will on behalf of the company independently, subject to point b) below; b) with respect to disposing of a right or incurring an obligation to render a performance with a value above PLN 200,000.00, the President of the Management Board is authorized independently or a member of the management board acting jointly with the President of the Management Board is authorized; when determining the values indicated above, the following is taken into account: for contracts concluded for a definite period, the value of the contract for its entire term, and for contracts concluded for an indefinite period, the value of the contract for a period of one year.
