Manner of representation

1. In the case of a one-person management board, the President of the Management Board is independently authorised to make declarations of will on behalf of the foundation, including in property matters. 2. In the case of a multi-member management board, in property matters with a value of up to PLN 15,000.00 (in words: fifteen thousand złoty), the President of the Management Board or the Vice-President of the Management Board is independently authorised, or two other members of the management board acting jointly and in agreement, provided that one of them must be the President of the Management Board or the Vice-President of the Management Board. 3. In the case of a multi-member management board, in property matters with a value exceeding PLN 15,000.00 (in words: fifteen thousand złoty), two members of the management board acting jointly and in agreement are authorised, provided that one of them must be the President of the Management Board or the Vice-President of the Management Board. 4. One of the remaining members of the management board or an attorney-in-fact appointed by the founder by resolution is independently authorised to conclude agreements with the President of the Management Board, whereas the President of the Management Board is independently authorised to conclude agreements with the remaining members of the management board.
