Manner of representation

To make declarations of will on behalf of the company, in the case of establishing a one-person management board, the member of the management board is authorised to act independently. Where the management board is multi-member, a member of the management board has the right to independently represent the company in legal transactions in which the value of the disposal of assets or the liability incurred does not exceed PLN 40,000 per transaction, and, for legal transactions obliging the company to provide periodic performance, the value of the liability incurred does not exceed PLN 40,000 per year. In legal transactions in which the value of the disposal of assets or the liability incurred exceeds PLN 40,000 per transaction, and, for legal transactions obliging the company to provide periodic performance, the value of the liability incurred exceeds PLN 40,000 per year, joint action by two members of the management board is required.
