Manner of representation

In the case of a one-person management board, the President of the Management Board is authorized to make declarations of will on behalf of the company independently. In the case of a two-member management board, each member of the management board is authorized to do so independently. In the case of a multi-member management board, the following persons are authorized to make declarations on behalf of the company: a) in the case of acts creating obligations or disposing of rights, as well as acts authorizing the incurring of an obligation or disposal of a right, depending on the value of the obligation incurred or the property right concerned: up to PLN 200,000.00 (two hundred thousand zlotys) – each member of the management board independently; above PLN 200,000.00 (two hundred thousand zlotys) – two members of the management board acting jointly; b) in the case of other types of acts – each member of the management board independently.
