Manner of representation

In the case of a one-person management board, a member of the management board independently, i.e. individually. In the case of a multi-member management board: disposition of a right and incurring liabilities up to the amount of PLN 50,000.00 – each member of the management board and the commercial proxy independently; disposition of a right and incurring liabilities above PLN 50,000.00 up to PLN 200,000.00 – two members of the management board jointly or a member of the management board jointly with a commercial proxy; disposition of a right and incurring liabilities above PLN 200,000.00 – three members of the management board jointly or two members of the management board with a commercial proxy. Disposition of a right and incurring liabilities above PLN 100,000.00 in the case of a one-person management board requires a resolution of the meeting of partners.
