Manner of representation

1. The management board adopts resolutions by a simple majority of votes. In the event of an equal number of votes, the vote of the President of the Management Board is decisive. 2. To make declarations of will and sign agreements on behalf of the foundation in matters exceeding the scope of ordinary management and in property matters exceeding PLN 10,000, joint action of the President and Vice-President of the Management Board acting jointly is required. 3. In matters exceeding the scope of ordinary management, the management board makes decisions in the form of resolutions by a majority of votes of all its members. 4. In current matters falling within the scope of ordinary management and in property matters up to PLN 10,000, the foundation is represented independently by the President of the Management Board or independently by the Vice-President of the Management Board. 5. A member of the management board who does not serve as President or Vice-President is not authorised to represent the foundation independently. 6. In employment matters, the foundation is represented by the management board in accordance with the representation rules specified above.
