Manner of representation

1. Each member of the management board is authorised to independently make declarations of will on behalf of the foundation, including to dispose of the foundation’s financial resources, conclude contracts and undertake other legal acts, subject to section 2. 2. If the management board consists of two or more persons, the joint action of two members of the management board is required to perform the acts indicated in section 1 whose value exceeds PLN 5,000 (five thousand zlotys). In the case of legal acts concerning the granting or settlement of grants, scholarships, awards, subsidies or other similar cash benefits, this threshold is PLN 10,000 (ten thousand zlotys). 3. Each member of the management board is authorised to independently perform such acts as: a. opening and operating the foundation’s bank subaccounts; b. submitting applications for the issuance or operation of payment cards linked to the foundation’s accounts or its subaccounts; c. establishing and operating online accounts necessary for the foundation’s functioning (e.g. ePUAP, online banking accounts). 4. The President of the Management Board is authorised to grant powers of attorney on behalf of the foundation irrespective of the number of members of the management board.
