Manner of representation

1. If there is a one-person management board, one member of the management board is authorized to make declarations on behalf of the company. 2. If the company’s management board consists of two or more members, the following applies to making declarations on behalf of the company: 2.1. In transactions involving the disposal of a right or the incurring of an obligation up to the amount of PLN 5,000.00 (five thousand zloty) (or the equivalent of this amount in another currency), one member of the management board acts. 2.2. In transactions involving the disposal of a right or the incurring of an obligation in an amount exceeding PLN 5,000.00 (five thousand zloty) (or the equivalent of this amount in another currency), joint action by two members of the management board acting jointly is required. 3. In non-property matters, if there is a multi-member management board, joint action by two members of the management board or by a member of the management board jointly with a commercial proxy is required to make declarations of will.
