Manner of representation

In the case of a one-person management board, the President of the Management Board acts independently in all matters, makes declarations of will and represents the foundation without limitations. The President of the Management Board and the Vice-President may represent the foundation independently. To make declarations of will on behalf of the foundation in property matters up to PLN 100,000 (one hundred thousand złoty), the President of the Management Board or the Vice-President is authorized independently. Incurring a property obligation or disposing of property with a value exceeding PLN 100,000 (one hundred thousand złoty) requires the joint action of the President of the Management Board and the Vice-President, acting jointly. A member of the management board represents the foundation jointly with the President of the Management Board or the Vice-President.
