Manner of representation

Two members of the management board, or a member of the management board together with an attorney-in-fact, or a member of the management board together with a commercial proxy, are authorized to make and sign declarations of will, provided that, for entering into obligations whose value exceeds twice the share capital, each member of the management board is authorized together with the President of the Management Board. In the case of a one-person management board, that member of the management board is authorized to make declarations of will, provided that, in the case of a one-person management board, for entering into obligations whose amount exceeds twice the share capital, that member of the management board is authorized subject to the prior consent of the partners’ meeting expressed in a resolution.
