Manner of representation
1. If the management board is a one-person management board, one member of the management board is authorised to make declarations on behalf of the company. 2. If the management board is a multi-member management board, each member of the management board is authorised to make declarations independently in matters where: 1) the value of a one-off performance does not exceed PLN 20,000 (in words: twenty thousand złoty); 2) the annual value of recurring performances does not exceed PLN 120,000 (in words: one hundred twenty thousand złoty). 3. If the management board is a multi-member management board, the President of the Management Board is authorised to make declarations independently on behalf of the company in matters relating to employment law. 4. In matters other than those specified in paragraphs 2 and 3, making declarations on behalf of the company requires the joint action of two members of the management board or one member of the management board jointly with a commercial proxy. 5. Appointment of a commercial proxy requires a unanimous resolution of all members of the management board. The commercial proxy may be revoked by any member of the management board.
