In the case of a one-person management board, a member of the management board is entitled to make declarations of will and sign documents independently. In the case of a management board consisting of two or more persons, each member of the management board is authorized independently to make declarations of will and sign documents on behalf of the company if the value of the legal act or the obligation arising from it does not exceed PLN 100,000 (one hundred thousand zlotys) net. Legal acts whose value exceeds PLN 100,000 (one hundred thousand zlotys) net require, for their validity, the joint action of two members of the management board or one member of the management board jointly with a commercial proxy.
