Manner of representation

1. Each member of the management board independently is authorised to make declarations of will concerning the company’s property and non-property rights and obligations and to sign on behalf of the company in matters not exceeding the ordinary scope of management. 2. Two members of the management board acting jointly are authorised to make declarations of will concerning the company’s property and non-property rights and obligations and to sign on behalf of the company in matters exceeding the ordinary scope of management. 3. Matters exceeding the ordinary scope of management are deemed to include those involving disposal of the company’s property or incurring an obligation exceeding PLN 20,000.00 (twenty thousand złoty). The foregoing does not exclude the rights of commercial proxies arising from the provisions on commercial proxies.
