Manner of representation

Where the management board is a multi-member management board, the consent of two members of the management board or one member of the management board jointly with a commercial proxy is required for making declarations of will concerning property and non-property rights and obligations exceeding, in Polish złoty or another currency, the equivalent of PLN 50,000.00 (fifty thousand złoty) on a one-off basis, and, for recurring performances whose value exceeds, in Polish złoty or another currency, the equivalent of PLN 50,000.00 (fifty thousand złoty) per year, according to the average exchange rate of the złoty or another currency against the euro determined by the NBP on the day preceding the day of making the declaration of will concerning property and non-property rights and obligations. Where the management board is a one-person management board, declarations of will on behalf of the company are made by the sole member of the management board.
