Manner of representation

1. Marek Soroka and Roman Soroka are excluded from conducting the affairs of the company as well as from representing it, subject to section 4 and Article 29 § 3 of the Commercial Companies Code. 2. The partners Wojciech Soroka and Miłosz Soroka are appointed to represent and conduct the affairs of the company not exceeding the scope of ordinary management and may independently perform acts falling within the scope of ordinary management. 3. Matters exceeding the scope of ordinary activities of the company are: a) the disposal of or leasing of the company’s enterprise; b) acquiring or disposing of real estate belonging to the company or encumbering it with limited rights in rem; c) performing an act resulting in the acquisition or disposal of a right or the incurring of an obligation in an amount exceeding PLN 15,000 (fifteen thousand zlotys and 00/100). 4. A resolution of the partners is required to perform acts exceeding the scope of ordinary management, provided that the vote on a resolution exceeding the scope of ordinary management: 1) on behalf of Roman Soroka is cast exclusively by Miłosz Soroka; 2) on behalf of Marek Soroka is cast exclusively by Wojciech Soroka, excluding Roman Soroka’s and Marek Soroka’s ability to vote personally; the foregoing provision has the effect of powers of attorney unlimited in time, irrevocable by those partners and not expiring upon their death, provided that the heirs of the respective partner may revoke such power of attorney by a unanimous decision.
