Manner of representation

The foundation may be represented externally by each member of the management board independently. Declarations of will on behalf of the foundation in all matters except property matters may be made by each member of the management board independently. In property matters exceeding PLN 5,000, the signature of the President of the foundation is required, provided that in property matters arising between the foundation and a member of the management board, in agreements and disputes between the foundation and a member of the management board, the foundation may be represented–regardless of the value of the property matter–by an attorney-in-fact appointed by a resolution of the management board, another member of the foundation’s management board, or the founder.
