Manner of representation

1. The following are authorised to make declarations on behalf of the company: a) the President of the Management Board independently, in every case; b) a member of the management board acting independently, to make declarations concerning property and non-property rights and obligations and to sign documents on behalf of the company causing the disposition of a right with a value not exceeding PLN 25,000.00 net (in words: twenty-five thousand złoty), inclusive, or the creation of an obligation to render a performance with a value up to PLN 25,000.00 net (in words: twenty-five thousand złoty), inclusive; c) a member of the management board acting jointly with the President of the Management Board, to make declarations concerning property and non-property rights and obligations and to sign documents on behalf of the company causing the disposition of a right with a value exceeding PLN 25,000.00 net (in words: twenty-five thousand złoty), inclusive, or the creation of an obligation to render a performance with a value above PLN 25,000.00 net (in words: twenty-five thousand złoty), inclusive. 2. In the case of periodic performances, when calculating the amount referred to in paragraph 1(b) above, the value of the performances during a period of 12 (twelve) months shall be taken into account.
