Manner of representation

1. Declarations of will on behalf of the foundation in all matters, including property matters, may be made by two members of the management board, including the President. 2. Employment contracts or civil-law contracts with the foundation’s employees and members of the management board shall be signed by the President. Employment contracts or civil-law contracts with the President shall be signed individually by another member of the management board designated in a resolution adopted unanimously by the foundation’s management board. 3. In agreements and disputes between the foundation and a member of the management board, the foundation may be represented by an attorney-in-fact appointed by a resolution of the management board. The attorney-in-fact may not be the person to whom the legal act relates, or that person’s spouse, ascendant, descendant or sibling.
