Manner of representation

The company is represented by the general partners according to the following rules: 1. in matters not exceeding the scope of the ordinary activities of the company, by each of the general partners acting independently; 2. in matters exceeding the scope of the ordinary activities of the company, by two general partners acting jointly. Matters exceeding the scope of the ordinary activities of the company include: A. incurring obligations and disposing of rights exceeding the equivalent of PLN 20,000 (in words: twenty thousand zlotys) net or its equivalent in another currency–in the case of agreements concluded for a definite period, this limitation applies to the total of all performances during that period, and in the case of agreements concluded for an indefinite period, to the total of all performances for a period of one year; B. commissioning accounting and tax services to an external entity; C. concluding, amending and terminating lease agreements; D. establishing any security interests over the company's assets, including over the enterprise or its organised part; E. granting commercial procuration, a general power of attorney, a generic power of attorney or a power of attorney to perform any of the activities listed in points A–D above.
