Manner of representation

Declarations of will on behalf of the foundation in non-property matters, including in particular matters concerning the foundation’s current activities, receipt of correspondence and organisational contacts, may be made independently by the President or the Vice-President of the Management Board, or by two members of the management board acting jointly. The joint representation of the President of the Management Board and the Vice-President of the Management Board acting jointly, or of two members of the management board acting jointly, is required to make declarations of will on behalf of the foundation in property matters, including the conclusion of financial agreements and the incurring of liabilities, provided that one of them must be the President or the Vice-President of the Management Board. The management board may appoint an attorney-in-fact for transactions of a specified type. In agreements between the foundation and a member of the management board and in disputes with such member, the foundation is represented by an attorney-in-fact appointed by the foundation’s management board. The attorney-in-fact may not be a member of the foundation’s management board. The management board appoints one attorney-in-fact by a resolution adopted by a simple majority of votes, excluding the member of the management board to whom the agreement or dispute relates.
