Manner of representation

1. Each member of the management board is authorized to represent the company and to make declarations on behalf of the company independently, except for representing the company and making declarations on behalf of the company before banks, where the company must be represented by two members of the management board acting together. 2. Each member of the management board is authorized independently to incur an obligation up to the amount of PLN 5,000.00 (five thousand zloty), whereas incurring obligations with a value between PLN 5,000.00 (five thousand zloty) and PLN 20,000.00 (twenty thousand zloty) requires the joint action of two members of the management board acting jointly or the President of the Management Board acting independently, whereas incurring obligations with a value exceeding PLN 20,000.00 (twenty thousand zloty) requires the joint action of all members of the management board.
