Manner of representation

1. Declarations of will on behalf of the foundation are made by the President of the Management Board individually, or by two other members of the management board acting jointly, or by an attorney-in-fact appointed by the President of the Management Board, acting individually within the scope of the authority granted. 2. The prior consent of the founder, expressed in written or documentary form, is required to incur a liability or make an expenditure whose value exceeds PLN 5,000 (in words: five thousand zlotys). 3. After the founder's death, the consent referred to in paragraph 2 is granted by the foundation council in the form of a resolution. 4. The value of a liability means the total value of the performance arising from one legal act, irrespective of the number of payments resulting from it. 5. An act performed without the required consent may be confirmed, as appropriate, by the founder or the foundation council.
